Parcl Points: Terms of Use

PLEASE READ THESE TERMS CAREFULLY. These terms and conditions, together with any documents or terms expressly incorporated by reference, which includes any other terms and conditions, terms of use, terms of service, or other agreement that Parcl Digital Limited (“Parcl”,“Company”, “we”, “us”, and “our”) posts publicly or makes available to its users (“User”, “you”, or “your”)(collectively, these “Terms”) govern the Users’ participation in the Parcl Points program (the “Program”). These Terms expressly cover your rights and obligations, and Parcl’s disclaimers and limitations of legal liability relating to your use of, and access to the Program, as defined below. The Program, and the Parcl Points themselves, is experimental and is provided to you on an "as is" and "as available" basis. Your participation is entirely voluntary, any use will be at your own risk, and without warranties of any kind by Parcl. By registering for the Program, or receiving or using Parcl Points, or otherwise participating in the Program, you agree to be bound by these Terms. If you do not agree to these terms, you may not participate in the Program.

Access by persons in jurisdictions where such access is prohibited by law is expressly forbidden. Neither the Program nor the Parcl Points are offered to persons or entities who reside in, are citizens of, are located in, are incorporated in, or have a registered office in the United States of America (collectively, “US Persons”). Additionally, persons or entities who reside in, are citizens of, are located in, are incorporated in, or have a registered office in any Restricted Territory as defined in Parcl’s Terms of Use, and any such person or entity from a restricted territory (a “Restricted Person”) are prohibited from participating in the Program. There are no exceptions to this rule. Please note that use of a virtual private network (“VPN”) to circumvent the restrictions described above is prohibited. Parcl may restrict access to the Program, including by adding jurisdictions to and/or removing jurisdictions from, the Restricted Territory list at any time, for any reason, in Parcl’s sole discretion. Parcl is not liable for any User’s or third-party loss or damage resulting from the temporary or permanent loss of access to the Program or any Parcl Points.

Parcl Digital Limited may restrict services, including in certain jurisdictions, due to applicable laws, regulations, or business considerations at its sole discretion. Parcl Digital Limited will not be liable for any loss or damage resulting from the temporary or permanent loss of use to any service or related services.


Terms

PLEASE BE AWARE THAT THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

  1. ACCEPTANCE OF TERMS

THESE TERMS GOVERN YOUR PARTICIPATION IN THE PROGRAM AND YOUR USE OF THE PARCL POINTS AND ALL RELATED TOOLS, MOBILE APPLICATIONS, WEB APPLICATIONS, DECENTRALIZED APPLICATIONS, LIQUIDITY POOLS, AND SMART CONTRACTS, COLLECTIVELY, THE “App”). THESE TERMS SET OUT YOUR RIGHTS AND RESPONSIBILITIES WHEN YOU INTERACT WITH THE PROGRAM AND/OR THE PARCL POINTS. BY PARTICIPATING IN THE PROGRAM OR USING PARCL POINTS IN ANY MANNER, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS AND ALL OF THE TERMS INCORPORATED HEREIN BY REFERENCE. BY AGREEING TO THESE TERMS, YOU HEREBY CERTIFY THAT YOU ARE AT LEAST 18 YEARS OF AGE.

  1. AMENDMENTS

Parcl reserves the right to amend these Terms at any time with reasonable notice, as determined by Parcl in its sole discretion. The Company will post notice of any amendment to these Terms by revising the “Last Updated” date at the beginning of the applicable document. Amendments are binding on all participants in the Program and will take effect immediately upon posting. You should check these Terms, Parcl’s main Terms of Use, and the Parcl Privacy Policy regularly for updates. By continuing to participate in the Program and/or use the Parcl Points after such notice is posted, you accept and agree to such amendments. If you do not agree to any amendment to any of these agreements, you must stop participating in the Program and return your Parcl Points.   1. THE PROGRAM

3.1 The Program was created, and is operated, by Parcl Digital Limited.

  1. PARCL POINTS

4.1          The Program is a mechanism that allows Users to accumulate points based on usage and interaction with the App and services provided therein (“Parcl Points”). The number of Parcl Points earned may vary depending on the nature of your interaction with the App.

4.2          Parcl reserves the right to determine, in its sole discretion, the number of Parcl Points awarded for any given interaction and which interactions qualify for points eligibility.

4.3          Parcl reserves the right, in its sole discretion, to revoke points accrued in the event of improper use of the App or the Parcl Points, or unauthorized participation in the Program.

4.4          Changes to Parcl Points Calculation

(a)           Parcl expressly reserves the right, in its sole and absolute discretion, to modify, alter, or change the calculation of Points at any time and for any reason without prior notice.

(b)           Such modifications, alterations, or changes may include but are not limited to, increasing or decreasing the number of Parcl Points awarded for a specific interaction or action, changing the activities for which Parcl Points may be awarded, or imposing limits on the accumulation or redemption of Parcl Points (if any).

4.5          Availability and Use. Parcl does not guarantee the availability of Points for any particular purpose. If Parcl creates a reward based on point accumulation, the number of Parcl Points required to redeem such reward is entirely arbitrary and may be substantially increased or decreased in Parcl’s sole discretion at any time without notice. Any publicized reward may be withdrawn by Parcl without notice, and restrictions on any reward or its redemption may be imposed at any time.

4.6          No Monetary Value

(a)           Parcl Points have no cash value, are not exchangeable for cash, and are not transferable. The sale, barter, or other disposal of Parcl Points, other than by Parcl, is expressly prohibited.

  1. TERM AND TERMINATION

We may suspend or terminate your rights to use Parcl Points and/or to participate in the Program at any time, for any reason, in our sole discretion, including for any use of the Parcl Points in violation of these Terms. All provisions herein, which by their nature should survive, shall survive such termination of, including without limitation, ownership provisions, warranty disclaimers, and limitation of liability.

Additional terms governing your participation in the Program and/or your use of Parcl Points, including controlling governing law and jurisdiction selection provisions as well the MANDATORY BINDING ARBITRATION provision to which the use of Parcl Points and/or your participation in the Program subjects you to can be found in Section 13 of Parcl’s main Terms of Use, which terms are incorporated herein by reference.
